General Terms and Conditions

1. Object

These General Terms and Conditions (“GTC”) apply to the use of the software application WANNAPLAY (“The App”) and the website https://www.wannaplay.club (“The Website”) and constitute a legal binding agreement between the user and WANNAPLAY CORP (Wannaplay), a private limited liability company incorporated under incorporated under the laws of the State of Delaware, USA, and operating under the laws of the USA, having its registered office in 1000 N. West St., Ste. 1501, City of Wilmington, New Castle County 19801, Delaware, and postal address in 40 SW 13th Street, Suite 804, Miami Florida, 33130, registered under number 6356108 on March 22nd, 2017.

The App and The Website belong to Wannaplay. The GTC may also apply to group companies of Wannaplay or any other company if these GTC are declared applicable by one of such entities. By entering into this agreement, and/or by using or accessing The App and or The Website you (The User) expressly acknowledge that you understand this GTC (including the dispute resolution provisions in Section 11) and accept all of its terms. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT USE OR ACCESS The App and/or The Website, OR ANY OF THE SERVICES PROVIDED by Wannaplay.

Wannaplay reserves the right to modify the terms and conditions of this GTC. Such modifications shall be binding on you only upon your acceptance of the modified GTC. Continued use of the App and/or The Website after any such changes shall constitute your consent and acceptance to such changes. The User may notify Wannaplay through the Help Center that they do not accept nor consent the changes made to the GTC.

2. Content

The App and/or The Website serve as a means of access for reserving and renting third parties services related to the short term use of sports fields, and/or related content made available by said third parties and/or other users of The App and/or The Website. Wannaplay does not provide sport field rental services, and is not a sport fields operator. It is up to the sport field operator to decide whether or not to offer a rental to a User contacted through The App and/or The Website, and it is up to the User to decide whether or not to rent a sport field from any sport field operator contacted through The App and/or The Website. Wannaplay does not ensure the fulfilment of the rental contract. Wannaplay has no control over the rental.

3. Access and use

By becoming a User, you represent and warrant that you are at least 15 years old and have legal capacity to conclude a contract according to the applying law. The App and/or The Website may only be used by individuals who have the right and authority to enter into this GTC, are fully able and competent to satisfy the terms, conditions, and obligations herein. The App and/or The Website are not available to Users who have had their User account temporarily or permanently deactivated. The User may not allow other persons to use their User account, and agree that they are the sole authorized user of their account. To use the The App and/or The Website, each User shall create a User account. Each person may only create one User account, and Wannaplay reserves the right to deactivate any and all accounts.

Any and all Users agree that they will not

  1. impersonate any person or entity;
  2. stalk, threaten, or otherwise harass any person;
  3. violate any law, statute, rule, permit, ordinance or regulation;
  4. interfere with or disrupt the The App and/or The Website and/or the servers or networks connected to the The App and/or The Website;
  5. post information or interact on the The App and/or The Website in a manner which is fraudulent, libelous, abusive, obscene, profane, sexually oriented, harassing, or illegal;
  6. use the The app and/or The Website in any way that infringes any third party’s rights, including: intellectual property rights, copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  7. post, email or otherwise transmit any malicious code, files or programs designed to interrupt, damage, destroy or limit the functionality of the The App and/or The Website, or any computer software or hardware or telecommunications equipment or surreptitiously intercept or expropriate any system, data or personal information;
  8. intentar acceder, utilizar y/o manipular los datos de Wannaplay, terceros proveedores y otros Usuarios;
  9. “frame” or “mirror” any part of the The App and/or The Website, without our prior written authorization or use meta tags or code or other devices containing any reference to us in order to direct any person to any other website for any purpose;
  10. modify, adapt, translate, reverse engineer, decipher, decompile or otherwise disassemble any portion of The App and/or The Website;
  11. rent, lease, lend, sell, redistribute, license or sublicense the The App and/or The Website or access to any portion of the The App and/or The Website;
  12. use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, scrape, “data mine”, or in any way reproduce or circumvent the navigational structure or presentation of the The App and/or The Website or its contents;
  13. link directly or indirectly to any other websites;
  14. transfer or sell your User account, password and/or identification, or any other User's Information to any other party;

4. User registration, User Account

To make use of Wannaplay services, The User must carry out the registration process and create an account. To carry out the registration process on The App, The App has to be downloaded via the online app stores. To carry out the registration process on the website the webapp is used. For this purpose, the registration has to be completed and the information required has to be transmitted. It will be necessary to provide information about the selected payment method. The email address entered during the setup of The User’s account might not be subject to changes at a later time. In case it is required for the payment method selected, Wannaplay can request documents, such as, but not limited to, an ID Card or a driving license. The User can transfer these via the The App and/or The Website. After the registration process has been completed, Wannaplay checks the account. When it has been confirmed and activated, The User will be notified immediately. The User cannot have more than one account. The User’s account is personal and cannot be transferred. The User has to take appropriate measures to ensure the confidentiality of The User’s account information, especially the login data. In case the login data of The User’s account are lost or stolen or reasonable suspicion exists that the account is used by a third person, The User shall inform Wannaplay immediately via the contact information provided in these General Terms.The User is liable for all liabilities or damages arising from the use of their user account by a third person. The User is obliged to keep the information provided for creating their user account, especially the billing and contact information up to date. The failure to comply with this requirement entitles Wannaplay to suspend the service for The User.

5. Charges and billing

The use of The App and/or The Website may result in charges to The User (“Charges”). Wannaplay has the authority and reserves the right to determine and modify Charges pricing by posting applicable pricing terms or quoting The User a price for a specific service at the time The User makes a request. Pricing may vary based on the type of service you request. The User is responsible for all Charges incurred under their User account regardless of their awareness of such Charges or the amounts thereof. After requesting a service The User might be able to cancel it through the app, but note that in certain cases a cancellation fee may apply. The User may also be charged if they fail to show up after requesting a service. All Charges are facilitated through a third-party payment processor. The User or Wannaplay may be required to provide The User’s information to said third-party payment processors. It’s The Users responsibility to ensure they comply with the payment processor’s terms and conditions where applicable. Wannaplay may replace its third-party payment processor without notice to The User. Wannaplay may group multiple charges into a single aggregate transaction on The User’s payment method based on the date(s) they were incurred. All Charges are non-refundable. This no-refund policy shall apply at all times. Upon addition of a new payment method or each service request, Wannaplay may seek authorization of The User’s selected payment method to verify the payment method, ensure the service cost will be covered, and/or protect against unauthorized behavior. Wannaplay reserves the right to cancel, block or nullify payment processors or methods.

6. Intellectual Property

All intellectual property rights in the The App and/or The Website shall be owned by Wannaplay absolutely and in their entirety. These rights include database rights, copyright, design rights (whether registered or unregistered), trademarks (whether registered or unregistered) and other similar rights wherever existing in the world together with the right to apply for protection of the same. All other trademarks, logos, service marks, company or product names set forth in the The Website and/or The App are the property of their respective owners. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information (“Submissions”) provided by you to us are non-confidential and shall become the sole property of Wannaplay. Wannaplay shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. Wannaplay and other Wannaplay logos, designs, graphics, icons, scripts and service names are registered trademarks, trademarks or trade dress of Wannaplay in the United States and/or other countries.

7. Data Privacy

User Information is any information The User provides, publish or post to or through the The App and/or The Website (including any profile information The User provides) or sends to other Users (including via in-application feedback, any email feature, or through any related social media posting) (your “Information”). The User consents to Wannaplay using User Information to create a User account that will allow The User to use The App and/or The Website. Wannaplay’s collection and use of personal information is as provided in Wannaplay’s Privacy Policy.

8. Disclaimers

The following disclaimers are made on behalf of Wannaplay, its affiliates, subsidiaries, parents, successors and assigns, and each of its respective officers, directors, employees, agents, and shareholders. The App and The Website are provided on an “as is” basis and without any warranty or condition, express, implied or statutory. Wannaplay does not guarantee and does not promise any specific results from use of the Services. To the fullest extent permitted by law, Wannaplay specifically disclaims any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Some countries and/or states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply. Wannaplay does not warrant that use of the The App and/or The Website will be accurate, complete, reliable, current, secure, uninterrupted, always available, or error- free, or will meet The User’s requirements, that any defects in the The App and/or The Website will be corrected, or that the The App and/or The Website are free of viruses or other harmful components. Wannaplay disclaims liability for, and no warranty is made with respect to, connectivity and availability of the The App and/or The Website. The User must withdraw any an all belongings from the sport field once the rental period has ended. Wannaplay will not be liable for the loss or misplacement of personal belongings, although it may, if able, help the User with information regarding their rentals to locate personal belongings lost during a rental. To that end, the User may contact the Help Center. The User is responsible for the use of their User account and Wannaplay expressly disclaims any liability arising from the unauthorized use of a User account. Should The User suspect that any unauthorized party may be using their User account or a breach of security, The User agrees to notify Wannaplay immediately.

9. Communications

The User agrees to receive communications from Wannaplay, including via mail, e-mail, text message, calls, and push notifications.The User may send communications to Wannaplay through the Help Center.

10. Transfers

The User may only transfer rights under the General Terms and Conditions to a third party with the prior written consent of Wannaplay. Wannaplay may transfer rights and obligations to any third party

11. Applicable law and jurisdiction

This GTC and the relationship between The User and Wannaplay shall be governed by the laws of Delaware. The Delaware courts shall have jurisdiction to adjudicate any disputes that may arise from or in connection with the GTC.
